Matt D. Mentzer


Matt D. Mentzer, Esq. & CPA, is a partner at Jetlaw, LLC. Leveraging over 15 years of combined tax, accounting, and legal experience, Matt advises clients on complex federal and state tax planning for aircraft acquisitions, sales, and financing transactions. He also supports the Firm’s clients in federal and state tax audits and routinely represents clients before the US Tax Court, IRS Office of Appeals, and state taxing authorities.

Matt serves as tax counsel on aviation merger and acquisition transactions. His practice includes tax modeling, planning for recovery of the tax basis of high-value assets, tax credit carryforwards, planning for net operating losses, and evaluating aviation-specific tax filings, such as Federal Excise Tax compliance. He also helps his clients structure their cross-border transactions to qualify for favorable tax treaty treatment.

Matt’s work includes:

  • Planning for IRS audits (internal audits), IRS audit defense, and handling IRS enforcement actions.
  • Advising on corporate aircraft use policies and internal compliance procedures.
  • Personal use of corporate aircraft, including fringe benefit calculations, calculating deduction disallowances, and evaluating mixed-use flights.
  • Advice regarding aircraft ownership and operating structures, including foreign ownership of U.S. registered aircraft.
  • Cross-board aircraft transaction tax planning.
  • State sales, use, and property taxation.
  • Federal income and Federal Excise Tax planning and filings, including advising on the application of international treaties.

Prior to joining the firm, Matt served as lead tax attorney for a wealth advisory firm with more than $200 billion in assets under management. In Matt’s free time, he enjoys playing pickleball and tennis, amateur radio, and coaching his children’s sports teams.


Matt received his B.S. in Accounting and Business/Management and his J.D. with an emphasis in taxation from The University of Kansas.
